These terms and conditions shall supersede any subsequent terms or conditions included with any purchase order, whether or not such terms or conditions are signed by Accessory Power, Accessory Power reserves the right to make changes to this site and these terms and conditions at any time.

You agree to these terms and conditions by visiting, browsing, shopping, accessing or otherwise using the Site. These terms and conditions are subject to change without prior notice at any time, in Accessory Power’s sole discretion. By visiting, browsing, shopping, accessing or otherwise using the Site after a change has been posted to the Site, the Customer accepts that change. Customers should check this User Agreement frequently.

ACCEPTANCE OF CONTRACT TERMS

These terms and conditions constitute a legal contract between you and Accessory Power (References to “you” or “your” shall relate to a customer of Accessory Power or any other party that visits, browses, shops, accesses or otherwise uses the Site (the “Customer”). By visiting, browsing, shopping, accessing or otherwise using this site, you acknowledge that you have read, understood, and agree to be bound by these terms and condition and comply with all applicable laws and regulations, including U.S. export and re-export control laws and regulations. If you do not agree to these terms and conditions as they may be changed by Accessory Power from time to time, do not use this Site. The material provided on this Site is protected by law, including, but not limited to, United States copyright law and international treaties. This Site is controlled and operated by Accessory Power from its offices within the United States. Accessory Power makes no representation that materials in the Site are appropriate or available for use in other locations, and access to them from territories where their contents are illegal is not authorized. Those who choose to access this Site from other locations do so on their own initiative and are responsible for compliance with applicable local laws.

ACCESS, INTERFERENCE AND LINKING

Accessory Power grants you a limited license to access and make personal use of the Site and not to download (other than page caching) or modify it, or any portion of it, except with express written consent of Accessory Power. The following activity on the Site is expressly prohibited: Any non-personal or commercial use of any robot, spider, other automatic device, or manual process to monitor or copy portions of the Site or the content contained herein without prior written permission by Accessory Power; collection or use of any product listings, descriptions, or prices, from the Site for the benefit of another merchant that supplies products competitive with or comparable to those offered on the Site; and, any use of, visits to, or other action that imposes an unreasonable or disproportionately large load on the Site, or otherwise interferes with its proper and timely functioning. Any unauthorized use terminates the license granted by Accessory Power. All software used on the site is the sole property of Accessory Power or those supplying the software. You may use the content of this site only for the purpose of shopping on this site or placing an order on this site and for no other purpose. No materials from this site may be copied, reproduced, modified, republished, uploaded, posted, transmitted, or distributed in any form or by any means without Accessory Power’s prior written permission. All rights not expressly granted herein are reserved. Any unauthorized use of the materials appearing on this site may violate copyright, trademark and other applicable laws and could result in criminal or civil penalties.

SALES

California, USA residents please add 9.5% sales tax. We accept PayPal funds, Visa, Mastercard, Discover, and American Express. NO personal or business checks please. Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. Accessory Power reserves the right at any time after receipt of your order to accept or decline your order for any reason. Accessory Power reserves the right at any time after receipt of your order, without prior notice to you, to supply less than the quantity you ordered of any item.

SHIPPING & HANDLING

Although we often modify our shipping carriers, shipping destinations, and shipping rates, we generally ship via UPS, FedEx, USPS, and DHL to the 48 continental United States, Alaska, Hawaii, Puerto Rico, Canada, and many other International destinations. Shipping methods and rates are selected by the customer and are verified at checkout. International orders are subject to incremental customs charges and the customer will be responsible for such charges. Shipping fees are non-refundable. Pickup from our warehouse locations is not available. Shipping rates are determined by weight, shipping speed, and destination postal code. Paid and verified orders, which are in-stock, generally ship within 48 hours. DISCOUNTS/ GIFT CERTIFICATES/ COUPONS/ REWARD POINT PROGRAMS

We welcome all our customers to use discounts when purchasing products at our Site. Any discounts, gift certificates, coupons, and reward points must be claimed at the time the order is placed. Please use the appropriate place on the order form at checkout to claim your discount. Accessory Power will be unable to apply any discount to orders which have already been placed. Accessory Power reserves the right to cancel or void any discount, gift certificate, or reward point at any time.

PRODUCT DESCRIPTIONS

Accessory Power attempts to be as accurate as possible. However, Accessory Power does not warrant that product descriptions or other content of this site is accurate, complete, reliable, current, or error-free. If a product offered by Accessory Power itself is not as described, your sole remedy is to return it in unused condition.

PRODUCTS GUARANTEES, DISCLAIMER AND LIMITATION OF LIABILITY

Products are only covered by manufacturer guarantees and/or warranties. We always do our best to notify customers of these guarantees and warranties. After 30 days defective product must be returned to the manufacturer. Except as expressly stated herein, Accessory Power makes no representations or warranties, either express or implied, of any kind with respect to products sold on the Accessory Power sites. Except as expressly stated herein, Accessory Power expressly disclaims all warranties, express or implied, of any kind with respect to products sold on this site, including but not limited to, merchantability and fitness for a particular purpose. You agree that the sole and exclusive maximum liability to Accessory Power arising from any product sold on the Accessory Power sites shall be the price of the product ordered. In no event shall Accessory Power, its directors, officers, employees or other representatives be liable for special, indirect, consequential, or punitive damages related to product sold.

TYPOGRAPHICAL ERRORS

In the event a product is listed at an incorrect price or with incorrect information due to typographical error or error in pricing or product information received from our suppliers, Accessory Power shall have the right to refuse or cancel any orders placed for product listed at the incorrect price. Accessory Power shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, Accessory Power shall immediately issue a credit to your credit card account in the amount of the charge.

DAMAGE

Damages are the responsibility of the carrier once the shipment has been released from Accessory Power. After shipment is released to the carrier, any damages must be reported to Accessory Power within five days from receipt of shipment. All claims must be filed by Accessory Power with the freight carrier. The customer must save all boxes and packing materials for damage inspection by carrier.

RETURNS

Accessory Power products include a limited manufacturer’s warranty of up to three years from the date of delivery unless otherwise stated. The complete warranty terms are included with the product. Accessory Power offers a 30-day return policy on most products purchased directly through this Site. Products purchased from another retailer or marketplace must be returned through the original place of purchase and are subject to that seller’s return policy.

Website Returns Are Refund-Only - Eligible returns for products purchased through this Site will be processed as refunds to the original payment method. Store credit and exchanges are not available through the return process. Customers requesting a replacement for a defective product must submit a warranty claim. Warranty replacements are subject to the product’s warranty eligibility requirements and applicable warranty terms.

Return Authorization - All returns require a Return Merchandise Authorization (RMA) number. To request an RMA, please email support@accessorypower.com or call Accessory Power Customer Service toll-free at 1-866-796-7324, Monday through Friday, from 8:00 a.m. to 5:00 p.m. Pacific Time. Please provide your order number, the item number for each product being returned, and the reason for the return. RMA numbers are valid for 30 days from the date issued. The RMA number must be clearly displayed on the outside of the return shipping package. Returns sent without authorization or a valid RMA number may be refused or delayed.

Return Requirements - Unless the product is being returned because it arrived defective, damaged, or incorrect, returned merchandise must include:

• The original manufacturer’s packaging

• All parts, accessories, cords, and manuals

• The original UPC and serial number, when applicable

Products that are materially damaged, altered, incomplete, or missing the serial number, UPC, or essential components may be ineligible for a refund. Issuance of an RMA number does not guarantee a refund. All returns are subject to inspection after arriving at our warehouse.

Defective, Damaged, or Incorrect Merchandise - Merchandise that arrives defective, damaged, or incorrect may be returned within 30 days of delivery for a refund. When Accessory Power confirms that the return is due to a product defect, shipping damage, or fulfillment error, we will provide a prepaid return shipping label when a return is required. The label cost will not be deducted from the refund. Customers who prefer a replacement must submit a warranty claim. After 30 days, eligible product defects will be handled exclusively under the applicable manufacturer’s warranty.

Non-Defective Merchandise - Non-defective merchandise may be returned within 30 days of delivery for a refund. No restocking fee will be charged. Customers may ship their return using a carrier of their choice at their own expense. We strongly recommend using a trackable shipping service, as Accessory Power is not responsible for return packages lost or damaged in transit. Alternatively, Accessory Power can provide a prepaid return shipping label for convenience. If the customer requests and uses our prepaid label, a portion of the actual label cost will be deducted from the refund according to the following schedule:

The prepaid-label deduction will not exceed 20% of the returned merchandise value. For returns containing multiple products shipped under one prepaid label, the applicable tier will be based on the combined value of the merchandise being returned. Merchandise value is based on the amount paid after discounts and before taxes and shipping charges. Before issuing a prepaid label, Accessory Power will provide an estimated label deduction. The customer must agree to the deduction before the label is issued.

The final refund confirmation will separately identify:

• The merchandise refund

• The prepaid return-label deduction, if applicable

Products that are materially damaged, altered, incomplete, or missing essential components, serial numbers, or UPCs may be ineligible for a refund. The 20% label-deduction limit does not apply to losses resulting from merchandise returned in a materially different condition.

Return Policy Exceptions

Requests for replacement of an eligible defective product must be handled through the applicable manufacturer’s warranty. Items identified as final sale or non-returnable on the applicable product page are not eligible for return unless they arrive defective, damaged, or incorrect.

Shipping Charges and Order Cancellations

Original outbound shipping and processing charges are not refundable for non-defective or change-of-mind returns. When a return results from a confirmed product defect, shipping damage, incorrect merchandise, or another Accessory Power fulfillment error, applicable standard outbound shipping charges will also be refunded. Order cancellation requests cannot be guaranteed once an order has entered processing. Orders that have already shipped must be handled under this return policy.

Refund Processing

Please allow up to 10 business days for your return to be inspected and processed after it arrives at our warehouse. Once processed, we will email you a refund confirmation. Refunds will be issued to the original payment method. Additional processing time may be required by your bank or payment provider. Accessory Power reserves the right to refuse returns that do not meet the requirements of this policy.

Warranty Eligibility

The complimentary limited manufacturer’s warranty applies only to eligible brand-new products purchased directly from Accessory Power or from an authorized retailer or distributor. Refurbished, open-box, used, or previously owned products are not eligible for warranty coverage, regardless of their condition or point of purchase. Proof of purchase showing the product, purchase date, and authorized seller will be required to register the product or obtain warranty service.

JURISDICTION AND VENUE

You agree that any legal action brought against Accessory Power shall be governed by the laws of the State of California without regard to its conflict of law principles. You agree that the sole jurisdiction and venue for any litigation arising from your use of or orders made on the Accessory Power sites shall be an appropriate federal or state court located in Ventura County, California.

SITE POLICIES, MODIFICATION, AND SEVERABILITY

Please review our other policies, such as our privacy policy and return policy, posted on this site. These policies also govern your visit to AccessoryPower.com. We reserve the right to make changes to our site, policies, and these Terms & Conditions of Use at any time. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.

These terms will apply to all orders beginning November 4, 2005.
